PACIFIC FINANCIAL INTELLIGENCE SOFTWARE — Effective: July 7, 2026
PLEASE READ THIS END USER LICENSE AGREEMENT ("AGREEMENT") CAREFULLY BEFORE USING THE PACIFIC SOFTWARE. BY USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE, DO NOT USE THE SOFTWARE.
The Pacific software, documentation, and any associated updates (collectively, the "Software") are licensed, not sold, to you by HERNS INC, doing business as GRRN ("Licensor"), for use only under the terms of this Agreement. Licensor retains all ownership rights in and to the Software. The terms of this Agreement will govern any software updates provided by Licensor that replace or supplement the original Software, unless such update is accompanied by a separate license.

Access to Pacific's AI analysis features requires an active paid subscription. Subscription fees are billed monthly through the applicable platform (Apple App Store, Microsoft Store, or IBM Cloud). Free trial periods, if offered, will automatically convert to paid subscriptions unless cancelled before the trial ends. You are responsible for all charges incurred under your account.
The Software provides AI-generated financial analysis, market data, and commentary. ALL AI OUTPUTS ARE FOR INFORMATIONAL PURPOSES ONLY AND DO NOT CONSTITUTE FINANCIAL ADVICE, INVESTMENT RECOMMENDATIONS, OR SOLICITATIONS TO BUY OR SELL SECURITIES. The Licensor does not guarantee the accuracy, completeness, or timeliness of any AI-generated content. You acknowledge that financial markets involve risk and that you are solely responsible for your investment decisions.
Your use of the Software is subject to the Pacific Privacy Policy, available at pacific.grrn.io/privacy. By using the Software, you consent to the collection and use of data as described in the Privacy Policy. Your conversation data is processed through secured API connections and is not sold to third parties.
The Software, including the Pacific AI model, API infrastructure, user interface, and all associated intellectual property, is owned by HERNS INC and protected by copyright, trade secret, and other intellectual property laws. This Agreement does not grant you any rights to trademarks, service marks, or trade names of the Licensor.
This Agreement is effective until terminated. Your rights under this Agreement will terminate automatically without notice if you fail to comply with any of its terms. Upon termination, you shall cease all use of the Software. Sections 4, 6, 8, 9, and 10 shall survive termination.
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THE LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR TRADING LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE LICENSOR'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws provisions. Any disputes arising under this Agreement shall be resolved in the state or federal courts located in Delaware.
You agree to comply with all applicable export and re-export control laws and regulations, including the Export Administration Regulations maintained by the U.S. Department of Commerce and sanctions programs administered by the U.S. Treasury Department's Office of Foreign Assets Control.
This Agreement constitutes the entire agreement between you and the Licensor regarding the Software and supersedes all prior negotiations, representations, or agreements relating to this subject matter. If any provision of this Agreement is found to be unenforceable, the remaining provisions shall remain in full effect.
