Terms of Service

PACIFIC FINANCIAL INTELLIGENCE PLATFORM — Effective: July 7, 2026

These Terms of Service ("Terms") govern your access to and use of the Pacific platform, including the Pacific application, API services, CLI tools, and related services (collectively, the "Service") provided by HERNS INC ("Company," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Eligibility

You must be at least 18 years old and capable of entering into a binding agreement to use the Service. By using the Service, you represent and warrant that you meet these requirements. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Account Registration

To access the Service, you must create an account by providing a valid email address and password. You are responsible for:

• Maintaining the confidentiality of your account credentials;
• All activities that occur under your account;
• Notifying us immediately of any unauthorized use of your account.

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.

3. Service Description

Pacific provides AI-powered financial intelligence services, including:

• AI-driven financial analysis and market commentary;
• Real-time and historical market data retrieval;
• Stock quotes, charts, comparisons, and sector analysis;
• Export tools for PDF, JSON, CSV, and Excel reports;
• Streaming API access for programmatic integration.

4. Subscription and Billing

• Free Trial: New accounts may receive a complimentary trial period. During the trial, you have full access to the Service.
• Paid Subscription: After the trial, continued access requires a paid subscription at the then-current rate (currently $35.99/month).
• Billing: Subscriptions are billed monthly through the applicable platform (Apple App Store, Microsoft Store, IBM Cloud, or direct billing).
• Cancellation: You may cancel your subscription at any time. Access continues until the end of the current billing period. No refunds are provided for partial billing periods.
• Price Changes: We reserve the right to modify pricing with 30 days' advance notice.

5. Acceptable Use

You agree NOT to:

• Use the Service for any illegal or unauthorized purpose;
• Attempt to gain unauthorized access to the Service or its related systems;
• Interfere with or disrupt the integrity or performance of the Service;
• Use automated systems (bots, scrapers) to access the Service in excess of your rate limits;
• Redistribute, resell, or sublicense access to the Service;
• Use AI-generated outputs as the sole basis for financial transactions without independent verification;
• Upload or transmit malicious code or content;
• Misrepresent your identity or affiliation.

6. Financial Disclaimer

THE SERVICE PROVIDES AI-GENERATED FINANCIAL ANALYSIS FOR INFORMATIONAL PURPOSES ONLY. IT DOES NOT CONSTITUTE FINANCIAL ADVICE, INVESTMENT ADVICE, TRADING ADVICE, OR ANY OTHER SORT OF ADVICE. You should not treat any of the Service's content as such. The Company does not recommend that any financial instrument should be bought, sold, or held by you. Nothing in the Service constitutes a solicitation, recommendation, endorsement, or offer by the Company to buy or sell any securities or other financial instruments.

TRADING AND INVESTING IN FINANCIAL MARKETS INVOLVES RISK. YOU ARE SOLELY RESPONSIBLE FOR YOUR OWN INVESTMENT DECISIONS AND SHOULD CONSULT WITH A QUALIFIED FINANCIAL ADVISOR BEFORE MAKING ANY INVESTMENT.

7. Intellectual Property

All content, features, and functionality of the Service — including the Pacific AI model, software architecture, user interface design, text, graphics, logos, and trademarks — are owned by HERNS INC and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

8. Data and Privacy

Your use of the Service is subject to our Privacy Policy. We process your data as described therein. By using the Service, you consent to such processing.

9. API Usage

If you access the Service via API:

• You must include valid authentication credentials with each request;
• You are subject to rate limits as defined by your subscription tier;
• API keys are personal and non-transferable;
• We reserve the right to throttle or suspend API access for abuse.

10. Service Availability

We strive to maintain continuous availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We are not liable for any loss or damage arising from Service interruptions.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HERNS INC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless HERNS INC, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising out of your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or in-app notification at least 14 days before taking effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

14. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for conduct that we determine violates these Terms or is harmful to other users, us, or third parties. Upon termination, your right to use the Service ceases immediately.

15. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the State of Delaware, United States. Any disputes shall be resolved through binding arbitration administered by the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction.
